Section 12(g) of the Exchange Act requires registration of a class of equity securities once an issuer crosses the holder and asset thresholds, and issuers may also register voluntarily. Form 8-A is the short form for registrants that already report or are registering alongside a Securities Act offering; EDGAR labels the 12(g) version 8-A12G.
Registration under 12(g) brings Exchange Act reporting, proxy rules and Section 16 insider reporting. Many over the counter issuers file 8-A12G to become fully reporting companies.
