Schedule 14C information statements are used when a company takes an action that needs shareholder approval but does not solicit proxies, usually because a majority holder has already approved it by written consent. Shareholders receive the statement for information only.
Information statements are common at controlled companies and small caps: reverse stock splits, name changes, authorized share increases and going private mergers approved by a controlling holder. The merger version is filed as DEFM14C.
Companies with Section 12 registered securities taking shareholder approved actions without soliciting proxies.
Sent at least 20 calendar days before the corporate action can be taken.
