print(r.json())What is 13D?
Schedule 13D is filed by anyone who acquires beneficial ownership of more than 5% of a class of voting equity registered under the Exchange Act and does not qualify for the short form Schedule 13G. In practice it is the filing of activists, acquirers and strategic investors, because Item 4 requires them to disclose their plans for the company.
In December 2024 EDGAR switched to structured XML and renamed the form type from SC 13D to SCHEDULE 13D, so this dataset covers both names. The same 2023 rule shortened the initial deadline from 10 days to 5 business days and amendments to 2 business days.
Persons or groups that acquire more than 5% of a registered class of voting equity and are not eligible to file Schedule 13G.
Within 5 business days after crossing 5% (10 days before February 2024). Material changes must be amended within 2 business days.
