What is PRE 14A?

Under Rule 14a-6, a company must file a preliminary proxy statement at least 10 calendar days before sending the definitive version, unless the meeting covers only routine matters such as electing directors, say on pay, auditor ratification and shareholder proposals.

That makes a PRE 14A a signal: something unusual is on the ballot. Reverse stock splits, authorized share increases, reincorporation, charter amendments and new equity plans all trigger preliminary filings, often days or weeks before the definitive proxy.

Who files

Companies soliciting proxies for meetings that include matters beyond the routine items exempted by Rule 14a-6(a).

When it is filed

At least 10 calendar days before the definitive proxy statement is first sent to shareholders.
