What is 424B5?

Rule 424(b)(5) covers prospectus supplements for shelf offerings that add details not in the base prospectus. When a seasoned company sells stock or bonds off its S-3 or F-3 shelf, the deal terms appear in a 424B5: amount, price, use of proceeds and underwriters.

Follow on equity offerings, investment grade bond deals and at the market sales agreements all show up here, often first as a preliminary supplement and then as the final version after pricing.

Who files

Shelf registrants conducting takedowns, usually seasoned issuers with effective S-3 or F-3 shelves.

When it is filed

No later than the second business day after pricing or first use.
