Form S-3 is the short registration form that companies already reporting to the SEC use to put securities on the shelf: register them once, then sell in pieces over up to three years without a new filing each time. Eligibility depends on a year of timely reports, and selling more than a third of the public float in a year needs a float of at least $75 million.
Large companies that qualify as well known seasoned issuers file S-3ASR, an automatic shelf that is effective the moment it is filed. Each later sale from the shelf shows up as a 424B prospectus supplement, usually a 424B5.
