A company files Form S-8 to register shares it will give or sell to employees, directors and consultants under a stock option, restricted stock or employee stock purchase plan. It becomes effective as soon as it is filed, so employees can sell the shares they receive.
New S-8s often follow an IPO, a new equity plan approved at the annual meeting or an increase in the plan's share reserve, which makes them a quiet signal of future dilution.
