Rule 424(b)(3) applies to prospectuses that reflect facts or events constituting a substantive change from the last prospectus filed. It is used across many offering types: final prospectuses for S-4 mergers, resale prospectuses for selling shareholders, and the frequent supplements of continuously offered non-traded REITs and BDCs.
Because 424B3 sits at the end of so many processes, it is a good place to catch effective deals: a 424B3 after an S-4 usually means the merger proxy and prospectus has been mailed.
