Terms of Service
Version 2 · Effective October 12, 2026
Please read these Terms carefully. Section 18 contains a binding arbitration agreement and a class action waiver that affect your legal rights.
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and SecFeed, the operator of secfeedapi.com ("SecFeed", "we", "us"). They govern your access to and use of the SecFeed website, application programming interface ("API"), Model Context Protocol server ("MCP server"), software development kits ("SDKs"), webhooks, real-time stream, bulk datasets, documentation and any related services (together, the "Service").
By creating an account, checking the box at signup, generating or using an API key, or otherwise using the Service, you agree to these Terms, our Privacy Policy, our Refund Policy and our AI Disclosure, which are incorporated by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. You may not use the Service if you are located in, or are a national or resident of, a country or region subject to comprehensive U.S. sanctions, or if you appear on any U.S. government restricted party list. The Service is intended for business and professional use.
3. Description of the Service
SecFeed retrieves documents that companies, funds, individuals and others file publicly with the U.S. Securities and Exchange Commission ("SEC"), primarily through its EDGAR system, and related public SEC sources. SecFeed processes them with automated software into structured data and delivers that data through the Service.
SecFeed is an independent service. It is not affiliated with, sponsored by, or endorsed by the SEC or any government agency. SEC and EDGAR are trademarks of the U.S. Securities and Exchange Commission. The SEC does not review, approve or vouch for SecFeed or its data.
4. Accounts and security
- You must provide accurate, current and complete information when you register and keep it up to date.
- You are responsible for keeping your password and API keys confidential and for all activity under your account and keys, whether or not you authorized it. API keys are credentials: do not embed them in public code, client-side applications or public repositories.
- Notify us immediately at support@secfeedapi.com of any unauthorized use. We are not liable for losses caused by unauthorized use of your credentials.
- One person or organization may not create multiple free accounts to obtain additional free usage.
- We may refuse registration, revoke or rotate keys, or require additional verification at our discretion, including where we suspect fraud, abuse or a security risk.
5. Plans, free tier and payment card requirement
- Plans. Usage limits, features and prices for each plan are described on our pricing page and may change under Section 6.
- Free plan. To receive a free API key you must add a valid payment card. We use the card to verify identity and prevent abuse. The Free plan is not charged. Your card issuer may show a temporary authorization that is released automatically. Removing your card may disable your free key.
- Usage limits. Calls above your plan's monthly allowance may be rejected until the next billing month. We may apply reasonable rate limits per second to protect the Service and our upstream sources.
- Fair use. Plans described as "unlimited" or "custom" remain subject to fair use. We may limit usage that degrades the Service for others or creates excessive load on SEC systems.
6. Fees, billing, renewal and taxes
- Merchant of record. Paid subscriptions are sold and processed by Stripe through its Managed Payments service, which acts as merchant of record and calculates, collects and remits applicable sales tax, VAT and similar taxes. Stripe's terms apply to your payment. Prices are shown in U.S. dollars and exclude taxes unless stated otherwise.
- Automatic renewal. Paid plans renew automatically at the end of each monthly or yearly billing period, and you authorize us and Stripe to charge your payment method for each renewal at the then current price, until you cancel. You can cancel at any time from your dashboard under Manage billing. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Price changes. We may change prices with at least 30 days' notice by email or on the Service. Changes apply from your next renewal. If you do not agree, cancel before the renewal date.
- Upgrades and downgrades. Upgrades take effect immediately and may be prorated by Stripe. Downgrades take effect at the next renewal.
- Failed payments. If a payment fails, we may suspend paid features or downgrade your account to the Free plan until payment succeeds.
- Refunds. Fees are non-refundable except as stated in our Refund Policy or as required by law.
- Chargebacks. If you dispute a valid charge with your bank instead of contacting us, we may suspend your account while the dispute is open and terminate it if the dispute is resolved against you.
7. License to use the Service
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during your subscription to access the Service and use the data you receive ("SecFeed Data") for your own internal business purposes, within your plan's limits.
- Display in your product. The Startup plan additionally allows you to display SecFeed Data to end users inside your own application, provided the data is not offered as a standalone dataset, bulk download or API.
- Redistribution. Reselling, sublicensing, redistributing or making SecFeed Data available in bulk or through an API to third parties requires a separate written Scale agreement.
- Underlying public records. Nothing in these Terms restricts your rights to the original public filings available from SEC.gov. Our license covers SecFeed's compilation, structure, parsing, enrichment, formatting and delivery of that information.
8. Acceptable use
You will not, and will not allow anyone else to:
- share, sell, publish or transfer API keys or account access, or pool usage across unrelated parties;
- exceed or circumvent usage limits, rate limits or access controls, including by creating multiple accounts;
- use the Service to build, train or populate a product that substantially replicates or competes with the Service, or systematically extract SecFeed Data to recreate our datasets, except as allowed by your plan;
- reverse engineer, decompile, scrape, or attempt to derive the source code or non-public parts of the Service, except to the extent applicable law prohibits this restriction;
- probe, scan or test the vulnerability of the Service, or interfere with or disrupt its integrity or performance;
- use the Service in violation of any law, including securities laws (for example insider trading or market manipulation), privacy and data protection laws, export control and sanctions laws;
- use data about individuals obtained through the Service to harass, stalk, discriminate against, defame or unlawfully profile any person, or for any purpose regulated by the U.S. Fair Credit Reporting Act (such as eligibility for credit, insurance, employment or housing);
- misrepresent your identity or affiliation, or imply that SecFeed or the SEC endorses you or your product;
- register webhooks that target systems you do not own or are not authorized to use.
9. Data accuracy, timeliness and no professional advice
- SecFeed Data is derived from public filings that may themselves contain errors, omissions, amendments or later corrections. Our automated processing can misread, omit or mis-classify information, particularly for unusual document layouts.
- Data may be delayed, incomplete or temporarily unavailable, including because of SEC system outages, rate limits or changes to SEC formats. Stated delivery times, including real-time and latency figures, are targets and not guarantees.
- No advice. The Service and all SecFeed Data, documentation, examples and any output produced by AI assistants using the Service are provided for informational purposes only. They are not investment, financial, legal, tax, accounting or other professional advice, and are not an offer or solicitation to buy or sell any security. SecFeed is not a broker-dealer, investment adviser or financial institution. You are solely responsible for your decisions and should verify any information against the original filing on SEC.gov before relying on it.
10. Third-party services and AI assistants
The Service may interoperate with third-party services, including payment processors, email providers and AI models or assistants that you connect through our MCP server. We do not control and are not responsible for third-party services, their availability, or the content they generate, including statements an AI assistant makes about SecFeed Data. Your use of third-party services is governed by their terms.
11. Your content and feedback
You retain ownership of the queries, webhook URLs and other information you submit ("Customer Content"). You grant us a license to use Customer Content to provide, secure and improve the Service. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation to you.
12. Intellectual property
The Service, including our software, APIs, schemas, documentation, website, logos, trademarks and the selection, arrangement, structure and enrichment of SecFeed Data, is owned by SecFeed and its licensors and protected by intellectual property laws. Except for the limited license in Section 7, no rights are granted to you. "SecFeed" and our logo are our trademarks; you may not use them without our written permission, except to accurately state that your product uses SecFeed.
13. Suspension and termination
- You may stop using the Service and close your account at any time.
- We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, create risk or legal exposure for us, or if required by law. Where reasonable, we will give notice and an opportunity to cure.
- We may discontinue the Service or any part of it. If we discontinue a paid feature you rely on, we will give reasonable notice and, at our option, a prorated refund of prepaid fees for the discontinued period.
- No refund is due when we terminate your account for breach of these Terms.
- Sections 7 (as to restrictions), 8, 9, 11, 12, 14 through 20 survive termination.
14. Disclaimer of warranties
To the maximum extent permitted by law, the Service and all SecFeed Data are provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, availability, or that the Service will be uninterrupted, secure or error-free. No advice or information obtained from SecFeed creates any warranty not expressly stated in these Terms.
15. Limitation of liability
To the maximum extent permitted by law: (a) SecFeed and its owners, officers, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, trading or investment losses, loss of data, goodwill or business opportunity, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages; and (b) SecFeed's total aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (i) the amounts you paid to SecFeed for the Service in the twelve (12) months before the event giving rise to the claim, or (ii) one hundred U.S. dollars (US$100).
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you; in that case our liability is limited to the fullest extent permitted by law.
16. Indemnification
You will defend, indemnify and hold harmless SecFeed and its owners, officers, employees and contractors from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service or SecFeed Data; (b) your applications, products or services that use SecFeed Data, and statements made to your users; (c) your breach of these Terms or violation of law; or (d) your violation of any third-party right. We may assume the exclusive defense of any matter at your expense, and you will cooperate with our defense.
17. Changes to the Service and to these Terms
We may modify the Service at any time. We may update these Terms; the version and effective date appear at the top of this page. For material changes we will give at least 15 days' notice by email or on the Service before they take effect. Continued use after the effective date means you accept the updated Terms. If you do not agree, stop using the Service and cancel your subscription.
18. Dispute resolution, binding arbitration and class action waiver
- Informal resolution first. Before filing a claim, you agree to contact us at support@secfeedapi.com and try to resolve the dispute informally for at least 30 days.
- Arbitration. Any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its applicable rules, rather than in court, except that either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or to stop unauthorized use of the Service. The arbitration will be conducted in English, remotely or in a location reasonably convenient to you.
- Class action waiver. You and SecFeed agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding.
- Opt out. You may opt out of this arbitration agreement by emailing support@secfeedapi.com within 30 days after you first accept these Terms, stating your name, account email and that you opt out of arbitration.
- Time limit. To the extent permitted by law, any claim must be brought within one (1) year after the claim arises, or it is permanently barred.
19. Governing law and venue
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict of law principles. Subject to Section 18, the state and federal courts located in Delaware have exclusive jurisdiction, and you consent to their personal jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer in a jurisdiction that grants you the right to bring claims in your local courts or under local mandatory law, those rights are not affected.
20. General
- Entire agreement. These Terms and the documents they incorporate are the entire agreement between you and SecFeed about the Service and supersede prior agreements. A signed Scale agreement controls where it conflicts with these Terms.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, sale of assets or by operation of law.
- Severability and waiver. If any provision is held unenforceable, it will be enforced to the maximum extent possible and the rest remains in effect. Our failure to enforce a provision is not a waiver.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages or changes of SEC systems, internet or hosting failures, labor disputes, natural disasters, war or government action.
- Export. You will comply with all applicable export control and sanctions laws in using the Service.
- Notices. We may send notices to your account email or post them on the Service. You may send notices to support@secfeedapi.com.
- Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
