What is N-2?

Form N-2 registers closed-end management investment companies: listed closed-end funds, interval funds, tender offer funds and business development companies (BDCs). It is the main disclosure document behind the fast growing private credit and evergreen fund market.

Since the 2020 offering reforms, eligible closed-end funds and BDCs can file N-2ASR, an automatic shelf registration that becomes effective on filing, the counterpart of an S-3ASR for operating companies.

Who files

Closed-end funds and BDCs registering securities under the Securities Act, and closed-end funds registering under the Investment Company Act.

When it is filed

Before an initial offering, and for shelf takedowns and updates. Amendments (N-2/A) respond to SEC comments and update the prospectus.
