What is 10-K?

Form 10-K is the annual report a US public company files with the SEC. It is the most complete picture of a business that a company publishes in a year: audited financial statements, a description of the business, risk factors, management's discussion and analysis (MD&A), legal proceedings, executive officers and controls.

Because the format is fixed by Regulation S-K, every 10-K has the same numbered items. That makes it ideal for machines: pull Item 1A risk factors across a whole industry, compare MD&A year over year, or read the XBRL financial statements without touching HTML.

Who files

Domestic companies with securities registered under the Exchange Act, and companies that file reports under Section 15(d). Foreign private issuers file 20-F or 40-F instead.

When it is filed

60 days after fiscal year end for large accelerated filers, 75 days for accelerated filers and 90 days for everyone else. A 10-K/A amends it; Part III is often filled in by reference to the proxy statement.

FAQ

When is a 10-K due?

60, 75 or 90 days after fiscal year end, depending on whether the company is a large accelerated, accelerated or non-accelerated filer.

What is the difference between a 10-K and an annual report to shareholders?

The 10-K is the regulatory filing with the SEC. The glossy annual report (filed as ARS) is a separate document for shareholders, and often wraps the 10-K.

How do I get a single section of a 10-K?

Call /v1/extractor with the filing URL and an item such as 1A or 7. It returns the section as clean text or HTML.
