Form 144 is a notice that someone plans to sell restricted securities, or control securities held by an officer, director or other affiliate, under Rule 144. It is required when the sales in any three months exceed 5,000 shares or $50,000, and it is filed on or before the first sale.
The filer on EDGAR is usually the seller, not the company. The Form 144 API returns the issuer, the shares to be sold, the broker and the seller's recent sales.
