What is SC TO-I?

Schedule TO-I is filed when a company makes a tender offer for its own securities under Rule 13e-4. That covers fixed price and Dutch auction buybacks, debt exchange offers, stock option repricing exchanges and the periodic tender offers of non-traded funds and BDCs.

The amendments report the final results: shares tendered, shares accepted and the price paid.

Who files

Issuers repurchasing their own equity securities by tender offer, including closed-end funds, BDCs and tender offer funds.

When it is filed

On the date the offer commences, with amendments for material changes and a final amendment reporting results.
