Form ABS-15G serves two purposes. Under Rule 15Ga-1, securitizers report demands to repurchase or replace assets for breaches of representations and warranties. Under Rule 15Ga-2, issuers and underwriters of rated ABS disclose the findings of third-party due diligence reports.
Both rules came out of the Dodd-Frank Act after the financial crisis, and the filings cover public and many private securitizations.
Securitizers of asset-backed securities (15Ga-1) and issuers or underwriters of rated ABS (15Ga-2).
Rule 15Ga-1 reports are filed quarterly, within 45 days after quarter end, plus an annual filing. Rule 15Ga-2 reports are due at least five business days before the first sale.
