What is F-1?

Form F-1 is the foreign private issuer counterpart of Form S-1. Non-US companies use it to register an IPO or other offering in the United States, often of American depositary shares, when they are not eligible for the short form F-3.

Disclosure follows the 20-F item structure and financial statements may be prepared under IFRS. Like S-1 filers, foreign issuers can submit draft registration statements confidentially before filing publicly.

Who files

Foreign private issuers registering securities under the Securities Act that are not eligible for Form F-3.

When it is filed

Before the offering, with amendments through pricing and a 424B4 final prospectus after pricing.
