What is Form C?

Form C is the disclosure document for Regulation Crowdfunding, which lets companies raise up to $5 million in 12 months from the public through a registered funding portal or broker-dealer. Every campaign on a crowdfunding platform starts with a Form C on EDGAR.

The Form C family follows the campaign through its life: C/A for changes, C-U for progress updates, C-AR for annual reports after the raise, C-TR to stop reporting and C-W to withdraw. The XML cover data gives the target, maximum, price, deadline and intermediary.

Who files

US companies raising capital under Section 4(a)(6) and Regulation Crowdfunding, through an SEC registered intermediary.

When it is filed

The Form C is filed before the offering starts. A C-U is due within five business days after reaching 50% and 100% of the target and after the deadline. A C-AR is due within 120 days after fiscal year end.
