What is F-6?

Form F-6 registers depositary shares evidenced by American depositary receipts. It is filed by the depositary bank, not the foreign company, and covers the ADSs rather than the underlying shares.

Each F-6 attaches the deposit agreement or the form of ADR, which sets the ratio of ADSs to ordinary shares, depositary fees and holder rights. New F-6 filings signal new ADR programs, both sponsored ones tied to a listing and unsponsored over the counter programs.

Who files

Depositary banks establishing ADR facilities for foreign companies' securities.

When it is filed

Before ADSs are issued under a new or amended program. F-6EF filings are effective immediately.
