print(r.json())What is 13G?
Schedule 13G is the short form beneficial ownership report for holders above 5% who do not intend to influence control of the company. Three kinds of filers use it: qualified institutional investors such as banks, broker-dealers and registered advisers; passive investors below 20%; and exempt investors such as pre IPO holders.
With well over a million filings, 13G is the largest record of who owns more than 5% of US public companies. Like 13D, it moved to structured XML in December 2024 under the new form type name SCHEDULE 13G.
Qualified institutional investors, passive investors owning less than 20%, and exempt investors that own more than 5% of a registered class.
Qualified institutions: 45 days after the quarter in which they cross 5%. Passive investors: 5 business days. Amendments: 45 days after quarter end.
