Item 1.01 is filed when a company enters into a material definitive agreement outside the ordinary course of business: a merger agreement, a credit facility, a large supply or license deal. The contract itself is often attached as Exhibit 10.
The feed returns every Item 1.01 filing with the summary of terms, a stream of deal activity across the market.
