A free writing prospectus is any written offer of securities outside the statutory prospectus, permitted by Rule 433 since the 2005 securities offering reform. Term sheets for bond deals, final pricing terms, structured note marketing sheets and electronic roadshow materials are filed as FWP.
For bond deals, the FWP term sheet is often the fastest place to read final pricing: coupon, spread, yield and settlement date, filed on the day of pricing.
Issuers and offering participants using written offering materials under Rules 164 and 433.
