Form 20-F is the annual report of a foreign private issuer, a non-US company whose shares or ADRs trade in the United States. It plays the role of the 10-K: business description, risk factors, operating and financial review, directors and compensation, major shareholders and audited financial statements, which may be prepared under IFRS as issued by the IASB without reconciliation to US GAAP.
Companies also use Form 20-F to register a class of securities under the Exchange Act; those filings appear as 20FR12B (exchange listing) and 20FR12G. Many of the largest non-US companies listed in New York file 20-F, so it is the core dataset for cross-border research.
Foreign private issuers with securities registered under the Exchange Act, typically companies listed in the US directly or through ADRs.
Within four months after fiscal year end. Interim results are not required on a fixed schedule and are furnished on Form 6-K.
