Most public ABS programs, such as auto loan, credit card and equipment trusts, register on Form SF-3, the shelf form created by Regulation AB II. Each deal is then offered off the shelf with a prospectus filed under Rule 424.
Shelf eligibility comes with conditions: a CEO certification for each offering, an asset review provision for investors and a dispute resolution mechanism for repurchase requests.
Depositors of asset-backed issuers that meet the shelf eligibility requirements.
When the shelf program is set up or renewed. Individual deals follow as 424 prospectuses.
