Form S-8 registers securities offered to employees under benefit plans: stock incentive plans, option plans, employee stock purchase plans and 401(k) plans holding company stock. It is short and effective immediately on filing.
Each S-8 states how many shares are being registered for which plan, so the stream is a running record of how much new stock companies set aside for compensation, including annual evergreen increases.
