What is N-1A?

Form N-1A is the registration statement of an open-end management investment company, which covers mutual funds and most ETFs. It registers the fund under the Investment Company Act and its shares under the Securities Act in one filing.

An N-1A is the first public record of a new fund or a new trust: strategy, fees, risks, portfolio managers and service providers. Most later updates come as 485APOS and 485BPOS post-effective amendments.

Who files

Open-end management investment companies, including mutual funds and exchange-traded funds organized as open-end funds.

When it is filed

When a new trust registers. New series and annual updates are usually filed as post-effective amendments under Rule 485.
