Exhibit 99 is the catch all exhibit number in Item 601 of Regulation S-K, and on Form 8-K it is where companies attach press releases, investor day slides, shareholder letters and conference call scripts. Most of these are furnished under Item 7.01 (Regulation FD disclosure) or Item 2.02, or filed under Item 8.01.
Regulation FD requires that when a company shares material information with analysts or investors, it makes it public at the same time. Filing it on an 8-K as Exhibit 99 is the standard way to do that, which makes this exhibit a feed of what management tells the market.
