Form 1-K is the annual report a Tier 2 Regulation A issuer files after its offering is qualified. It is the Reg A counterpart of a 10-K, shorter and less prescriptive, but with audited financial statements.
For investors in mini-IPOs, real estate funds and crowdfunded companies that graduated to Reg A, the 1-K is often the only audited information published each year.
Tier 2 Regulation A issuers that have not suspended their reporting obligation with a Form 1-Z.
