print(r.json())What is 1-A?
Form 1-A is the offering statement for Regulation A, the exemption often called a mini-IPO. Tier 1 allows raising up to $20 million in 12 months and Tier 2 up to $75 million, from the general public, with a lighter process than a full S-1 registration.
A 1-A has three parts: Part I is an XML notification with issuer and offering data, Part II is the offering circular investors read, and Part III holds the exhibits. The SEC qualifies an offering statement rather than declaring it effective.
US and Canadian companies raising capital under Regulation A. Investment companies, blank check companies and Exchange Act reporting delinquents are excluded.
Filed before the offering. Amendments (1-A/A) answer SEC comments; post-qualification amendments (1-A POS) update a qualified offering; 1-A-W withdraws it.

FAQ
What is the difference between Tier 1 and Tier 2?
Tier 1 caps the raise at $20 million and requires state registration. Tier 2 allows up to $75 million, preempts state review, and requires audited financials and ongoing reports (1-K, 1-SA, 1-U).
Is a Regulation A offering an IPO?
It is a public offering exempt from registration. The securities can trade, but the company does not become an Exchange Act reporting company unless it registers separately.
