What is DEF 14A?

A definitive proxy statement on Schedule 14A is the document a company sends shareholders before a meeting at which it solicits votes, most often the annual meeting. It is the main source for executive compensation, director biographies, board committees, related party transactions and the proposals on the ballot.

Part III of the 10-K, covering executive pay and governance, is usually incorporated by reference from the proxy, so the DEF 14A is where that data actually lives. SecFeed parses the Summary Compensation Table, director compensation, audit fees and pay versus performance tables into JSON.

Who files

Companies with securities registered under Section 12 that solicit proxies from shareholders.

When it is filed

Sent before the meeting and filed no later than the date first sent. To feed Part III of the 10-K, within 120 days after fiscal year end.
