What is 10-Q?

Form 10-Q is the quarterly report a US public company files for each of the first three fiscal quarters. The fourth quarter is covered by the 10-K. A 10-Q contains unaudited financial statements reviewed by the auditor, management's discussion of the quarter, and any material changes to risk factors since the last annual report.

Because 10-Qs arrive three times a year with the same item structure, they are the main source for quarterly fundamentals and for tracking how management describes a business between annual reports. The XBRL financial data inside each 10-Q gives you the quarter's income statement, balance sheet and cash flow without parsing tables.

Who files

Domestic companies that file Exchange Act reports. Foreign private issuers do not file 10-Qs; they furnish interim results on Form 6-K.

When it is filed

40 days after quarter end for large accelerated and accelerated filers, 45 days for everyone else. Before 2008, small businesses filed Form 10-QSB.

FAQ

When is a 10-Q due?

40 days after the end of the quarter for large accelerated and accelerated filers and 45 days for other filers.

Are 10-Q financial statements audited?

No. They are reviewed by the independent auditor but not audited. The annual statements in the 10-K are audited.

Why is there no 10-Q for the fourth quarter?

The fourth quarter is covered by the annual report on Form 10-K, so companies file three 10-Qs a year.
