When a company sells securities off a shelf registration (an S-3 or F-3), it files a prospectus supplement under Rule 424(b)(5) with the terms of that sale: follow on stock offerings, at the market programs and corporate bond deals.
A preliminary 424B5 often appears before a deal prices and a final one after, so two filings a day apart usually mean an overnight offering.
