Form 3 is the first filing a person makes on becoming a Section 16 insider of a public company: a new director, a newly appointed officer, or an investor crossing 10% of a registered class of equity. It reports what they own on day one, both common stock and derivative securities such as options and RSUs.
Every insider's Form 4 and Form 5 history starts from this baseline. A burst of Form 3 filings at one company often marks an IPO, a board refresh or a new activist stake, which makes the feed useful well beyond ownership math.
Officers, directors and beneficial owners of more than 10% of a class of equity registered under Section 12 of the Exchange Act.
Within 10 days of becoming an insider. For an IPO, by the effective date of the registration statement.
