What is SC TO-T?

A third party that makes a tender offer for a class of a company's registered equity securities files Schedule TO-T on the day the offer begins. Acquirers use tender offers to buy a public company faster than a merger vote allows.

Amendments (SC TO-T/A) report extensions, price changes and the final results, often including the count of shares tendered, so the filing history traces a deal from launch to close.

Who files

Bidders other than the issuer, under Rule 14d-3, when a successful offer would leave them owning more than 5% of the class.

When it is filed

On the date the tender offer commences. The offer must stay open at least 20 business days, and amendments are filed promptly for material changes and results.
