What is CB?

When a foreign private issuer makes a tender offer, exchange offer, rights offering or business combination that relies on the cross-border exemptions, it furnishes the home country offering documents to the SEC on Form CB, translated into English.

The exemptions apply when US holders own a small share of the target, which makes Form CB a record of foreign deals that reach US investors without a full US filing.

Who files

Bidders and issuers relying on Rules 801, 802, 13e-4(h)(8) or 14d-1(c) for cross-border transactions.

When it is filed

By the first business day after the offering documents are published or sent in the home jurisdiction.
