Rule 425 covers written communications made in connection with a business combination that involves the offer of securities, such as a stock for stock merger. Under Rule 165, the parties can communicate freely about the deal before and after the S-4 is filed, as long as they file those communications under Rule 425.
Merger press releases, analyst call transcripts, investor presentations, employee FAQs and customer letters about a pending deal are all filed as 425. The filing lists both the filer and the subject company, so you can follow a deal from either side.
