What is DFAN14A?

DFAN14A is the form type for proxy soliciting material filed by someone other than the company, most often an activist investor running a proxy contest, campaigning against a merger, or pushing a shareholder proposal. Letters to the board, open letters to shareholders, white papers and campaign websites all appear here.

Since the universal proxy rule (Rule 14a-19) took effect in September 2022, dissidents in contested director elections must solicit holders of at least 67% of the voting power, which increased the volume and visibility of these materials.

Who files

Shareholders, activist funds and other non-management parties soliciting proxies or engaging in soliciting activity.

When it is filed

No later than the date the material is first published, sent or given to shareholders.
