When an asset manager wants to do something the Investment Company Act or Advisers Act does not allow by default, it applies to the SEC for an exemptive order on a 40-APP filing. Co-investment relief for private credit, new share class structures and novel ETF designs all start here.
Applications are often amended several times before the SEC publishes a notice and issues an order, so the amendment history shows how product structures get negotiated with the staff.
Investment companies, BDCs, investment advisers and their affiliates seeking relief from provisions of the Investment Company Act or Advisers Act.
Any time relief is needed. Amendments (40-APP/A) are filed in response to SEC staff comments until a notice and order are issued.
