Rule 424(b)(2) covers prospectuses used in shelf takedowns that disclose public offering price, description of securities or similar matters. In practice, the overwhelming majority of 424B2 filings are pricing supplements for structured notes issued by large banks: auto callables, buffered notes, market linked CDs and similar products.
Each supplement names the underlying index or stocks, the coupon and barrier terms, the estimated value and the dates, which makes 424B2 the public record of the US structured products market.
Shelf registrants, dominated by bank holding companies and their finance subsidiaries issuing structured notes.
No later than the second business day after pricing or first use, under Rule 424(b).
