Regulation A lets smaller companies sell securities to the public with a lighter process than a full IPO: up to $20 million a year under Tier 1 and up to $75 million under Tier 2. Form 1-A is the offering statement, with an offering circular describing the business, the risks and the financials.
Tier 2 issuers then file annual reports on Form 1-K, semiannual reports on 1-SA and current reports on 1-U.
