What is S-1?

Form S-1 is the general registration statement under the Securities Act of 1933. Companies going public file it for their IPO, and companies not eligible for the short form S-3 use it for later offerings and resale registrations.

An S-1 contains the full prospectus: business, risk factors, use of proceeds, dilution, MD&A, management, principal shareholders and audited financials. The amendments (S-1/A) show the deal taking shape, including the price range, and S-1MEF adds shares at pricing.

Who files

Domestic companies registering securities under the Securities Act, including first time issuers and companies not eligible for Form S-3.

When it is filed

Before the offering. Emerging growth companies may submit drafts confidentially (DRS) and must file publicly at least 15 days before the roadshow.
