Form S-3 is the short form registration statement for seasoned issuers. A company that has been reporting for at least 12 months and is current in its filings can incorporate its 10-K and 10-Q by reference, and most use S-3 to register a shelf of securities they can sell later in takedowns documented by 424B prospectus supplements.
Well known seasoned issuers, generally those with $700 million or more of public float, file S-3ASR automatic shelf registrations that become effective immediately. S-3D covers dividend reinvestment plans.
Issuers that have reported under the Exchange Act for 12 months and filed on time. Primary offerings without limit generally need $75 million of public float.
Before the offering. A shelf typically lasts three years, with takedowns filed as 424B2, 424B3 or 424B5 supplements.
