What is 1-U?

Form 1-U is the Regulation A version of an 8-K. Companies that raised money under Tier 2 of Regulation A must report certain events between their semiannual (1-SA) and annual (1-K) reports, and they do it on Form 1-U.

The list of events is shorter than the 8-K list, and many Reg A issuers are small private companies, real estate funds and startups that raised money from the public online. That makes 1-U filings one of the few public event feeds for this part of the market.

Who files

Issuers that completed a Tier 2 offering under Regulation A and have not exited the reporting regime with Form 1-Z.

When it is filed

Within four business days after the event.
