What is CT ORDER?

Companies may redact commercially sensitive terms, such as pricing in a supply agreement, from exhibits they file. Under the traditional process they apply under Rule 406 or Rule 24b-2, and the SEC issues a confidential treatment order, posted as CT ORDER.

Since 2019, companies can redact immaterial and competitively harmful information from material contracts without applying, so CT ORDER volume has fallen, but the orders still show which agreements contain hidden terms and until when.

Who files

Issued by the SEC staff to registrants that applied for confidential treatment.

When it is filed

When the staff grants an application, often with an expiration date for the confidential treatment.
