What is Form 144?

Form 144 is the notice an affiliate or holder of restricted securities files when they plan to sell under Rule 144. It is required when the sale, together with other sales in the prior three months, exceeds 5,000 shares or $50,000 in aggregate sale price.

Because it is filed when the sell order is placed, often before the trade settles and before the Form 4, a Form 144 is an early view of planned insider selling. Paper filing ended in April 2023, so recent notices are structured XML that SecFeed flattens into fields.

Who files

Affiliates of the issuer, such as officers, directors and large holders, and holders of restricted securities relying on Rule 144.

When it is filed

Concurrently with placing the sell order with a broker or executing the sale directly with a market maker.
