When one fund merges into another, the acquiring fund registers the shares it will issue on Form N-14. The filing includes the proxy statement and prospectus that the target fund's shareholders vote on.
N-14 filings explain why the merger is proposed, compare the two funds' fees, strategies and performance, and show pro forma expenses after the reorganization. They are the best record of consolidation in the fund industry, including mutual fund to ETF conversions.
Registered investment companies and BDCs issuing securities in a business combination with another fund or company.
Before the shareholder meeting that votes on the reorganization. Many N-14s become effective automatically 30 days after filing under Rule 488.
