What is 15-12G?

Form 15 is how an issuer certifies that it is terminating registration of a class of securities, or suspending its duty to report. The 15-12G version covers securities registered under Section 12(g), typically when the number of holders of record has fallen below the Rule 12g-4 thresholds.

Filing Form 15 immediately suspends the duty to file periodic reports, and termination becomes effective 90 days later. Companies use it after being acquired, after deregistering a class of notes, or to stop reporting altogether.

Who files

Issuers with securities registered under Section 12(g) that qualify to deregister.

When it is filed

When the issuer qualifies, often right after a merger closes or after holders of record drop below the threshold.
