What is 25-NSE?

Under Exchange Act Rule 12d2-2, delisting a security requires a Form 25. When the exchange initiates the removal, because a merger closed, a security matured or was redeemed, or the issuer fell below listing standards, the exchange files it, and EDGAR labels that version 25-NSE. Issuers that delist voluntarily file a plain Form 25.

The delisting is effective 10 days after the Form 25 is filed, and withdrawal of Section 12(b) registration follows 90 days later. 25-NSE filings therefore mark the end of trading for acquired companies, redeemed preferreds, matured notes and closed ETFs.

Who files

National securities exchanges such as NYSE, Nasdaq and Cboe, filing under the issuer's CIK.

When it is filed

When the exchange removes a class of securities, for example after a merger or redemption.
