A class of securities must be registered under Section 12(b) of the Exchange Act before it can trade on a national securities exchange. Companies that already report, or that register in connection with a Securities Act offering, use the short Form 8-A for this. EDGAR labels the 12(b) version 8-A12B.
An 8-A12B is filed for IPOs, uplistings, new classes of preferred stock, notes, warrants and units, and ETF shares. Together with the exchange's certification (CERT), it is the paper trail of a new listing.
