Form 10 is the general form for registering a class of securities under the Exchange Act when no Securities Act registration is involved. The Section 12(g) version, 10-12G, is used by companies that want or need to become reporting companies, and widely by spin-offs, where shares are distributed to existing holders rather than sold.
A Form 10 reads much like an S-1: business, risk factors, financial statements, MD&A, management and executive compensation. Under Section 12(g) it becomes effective automatically 60 days after filing.
