What is 15-15D?

Form 15 is the certification a company files to terminate registration or suspend its duty to file reports under the Exchange Act. The 15-15D submission type covers suspension of the reporting duty under Section 15(d), which applies to companies that registered securities under the Securities Act but have no class registered under Section 12.

A Form 15 usually marks the end of a company's life as a public reporter: after a merger, a going private transaction, a bankruptcy or when the number of holders of record falls below the statutory thresholds.

Who files

Companies with a Section 15(d) reporting obligation that meet the conditions to suspend it.

When it is filed

When the company qualifies, typically right after a merger closes or a class of securities is retired.
