What is 10-12B?

Form 10 is the general form for registering a class of securities under the Exchange Act. The 10-12B submission type registers a class under Section 12(b), which applies to securities listed on a national securities exchange.

Most 10-12B filings are spin-offs: the parent distributes shares of a subsidiary to its shareholders and the new company lists on an exchange. The Form 10 and its information statement exhibit contain the new company's business description, risk factors and carve-out financial statements, often months before trading starts.

Who files

Companies registering a class of securities for listing on a national securities exchange without a Securities Act offering, mainly spin-offs.

When it is filed

Before listing. Registration becomes effective after the exchange certifies the listing and, for 12(b), as provided in Section 12(d).

FAQ

Why do spin-offs file a Form 10?

The distributed shares are not sold in an offering, so the new company registers the class under the Exchange Act on Form 10 instead of an S-1.

What is the difference between 10-12B and 10-12G?

10-12B registers under Section 12(b) for exchange listing; 10-12G registers under Section 12(g).
